Terms of Service
1. Introduction & Acceptance of Terms
Welcome to LetsTrade LLC, operated and referred to as “LetsTrade” (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the LetsTrade mobile application, website, and any related services (collectively, the “Service”).
By signing up, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. These Terms apply to all users, including beta testers, casual users, and registered account holders.
LetsTrade acts as a platform to connect users and facilitate transactions. We do not control, oversee, or retain responsibility for users’ interactions, nor do we guarantee the quality, safety, or legality of services offered. Buyer and Seller understand the nature of community-driven marketplaces and assume all risks accordingly, the most common risks being scams and counterfeit items. LetsTrade may offer mediation tools via email for user disputes, but we do not assume any legal liability for the outcome, nor do we guarantee any of these offerings automatically.
Payments are processed securely via Stripe. By continuing, you agree to Stripe’s Connected Account Agreement and understand that Stripe does not resolve disputes between buyers and sellers.
IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THESE TERMS, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND LETSTRADE THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY THE ARBITRATION GENERALLY AND THE ARBITRATION AGREEMENT SECTION BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS MANDATORY ARBITRATION OF DISPUTES, THE AGREEMENT TO ARBITRATE WILL NOT APPLY TO YOU, BUT THE PROVISIONS OF THE GOVERNING LAW AND JURISDICTION SECTION WILL APPLY INSTEAD.
2. Description of the Service
LetsTrade provides a digital platform for users to list, discover, and trade goods or services locally. The current version of the platform is in beta testing, which means it is a pre-release version that may undergo changes and contain bugs, incomplete features, or temporary downtime.
We aim to provide a positive community experience focused on local bartering, exchanging, and trading.
LetsTrade is a platform accessible via website and mobile application (cumulatively, the “App”) that connects Buyers and Sellers of legal products and services (otherwise referred to as a “listing” on the app), that can result in the possible purchase, trade, split trade, barter, or sale of any state and federally recognized legal good(s) or service(s). LetsTrade allows for the possible facilitation of trading goods or services, whether that be an even swap or if a value difference exists between the goods or services being traded. This can often be referred to as barter, even swap, or trade. We use third-party companies to process payments (the “Payment Processor”)through Stripe by Buyers and to payout funds to Sellers and Buyers, and Sellers will be subject to and must comply with the Payment Processor’s terms and conditions. To the extent we accept, hold, or transmit funds in connection with a listing, we do so through our Payment Processor(s). LetsTrade is not involved in the creation of any listings nor does it directly sell or buy any listings, take title, possession, or responsibility of any listings, or take responsibility for any listings in transit (including any shipment or handling of listings), or ensure the performance of any listings. Buyers are solely responsible for the purchase of and payment for listings that may be available on or through the App and for resolving any issues related to the listings. Sellers are solely responsible for all details of the listings, and LetsTrade is not responsible for any descriptions, photographs, assurances of quality or performance of any listings, or otherwise. Except where prohibited by applicable law, LetsTrade disclaims any responsibility, duties, and liability arising from, related to, or connected with all listings. LetsTrade reserves the right to terminate or suspend orders, cancel purchases, or remove listings, for any reason and in its sole discretion, and except where prohibited by applicable law, LetsTrade will not be liable to Buyers, Sellers, or any third party for doing so. LetsTrade is void of all responsibility, and users are fully responsible for any actions that occur on or off the app, regarding anything related to the application or site. LetsTrade operates as a platform for consumers, businesses, and the general public to participate in the buying, selling, trading, or bartering of goods and services that are legally recognized by state and federal authorities. By agreeing to these terms and conditions, you acknowledge that you are waiving LetsTrade of all liability associated with your interactions, purchases, orders, listings, trades, and similar actions on the app.
If you are using any feature, associated functionalities, services, or other features that LetsTrade makes available to you, they will be deemed part of the App. Any reference to the App in these Terms and Conditions also includes the use of any and all features, associated functionalities, services, operations, user actions, and anything of the like.
3. Privacy Policy
What Information We Collect
To operate, improve, and support the LetsTrade platform and beta testing experience, we collect several types of information from and about users. The data we collect falls into the following categories:
Personal Information (Identifiable)
Information you provide directly to us when you sign up or communicate with our team.
Full Name – Used to personalize communication and verify tester identity.
Email Address – Required for sending updates, beta invites, and surveys.
Phone Number – Used for optional direct communication or troubleshooting (e.g., via WhatsApp).
Location Information (City or Region) – Collected to prioritize local testing in the Reno, NV area and match users with nearby trades.
Information you provide directly to us when you sign up or communicate with our team.
Device and Technical Information
Information about the devices and platforms you use to access LetsTrade.
Device Type & Operating System – (e.g., iPhone iOS 17, Android 14) collected to identify compatibility and fix device-specific issues.
Browser Type – If you use the web app, we may record the browser used (e.g., Chrome, Safari) to ensure optimal platform performance.
IP Address – May be logged during form submission or app usage to determine regional activity and prevent abuse.
App Version Number – Helps our development team identify which release you are using when issues are reported.
Usage and Activity Data
Information collected through app interaction, surveys, or feedback.
Trade Activity – What items or services you browse, list, or interact with (used to improve features and suggestions).
In-App Behavior – Actions such as logging in, submitting a listing, making a trade request, or messaging a user (used to analyze feature usage).
Form Responses – Feedback or suggestions submitted through Google Forms (voluntary and often anonymous).
Bug Reports – Screenshots, descriptions, or other data you provide when reporting an issue or error.
Optional or Incentive-Driven Data
Information provided as part of reward fulfillment, community participation, or tester spotlights.
Payment Info – Limited details like an email for payment processing (e.g., gift cards via Stripe or PayPal).
Profile Image or Bio – If enabled in the app, this info is collected voluntarily to enhance user visibility.
Survey Participation – Additional details you choose to provide in open-response surveys or interviews (e.g., hobbies, preferred features).
Aggregated or Anonymized Data
We may generate anonymous statistics based on usage (e.g., “60% of testers completed a trade in Week 2”). This data is stripped of identifying info and used for internal reporting or investor decks.
How We Use Your Information
LetsTrade collects and uses your information to deliver a safe, functional, and valuable experience—especially during our beta testing phase. The data you provide helps us understand what works, what doesn’t, and how to evolve the app for public release. Here’s how your information may be used:
To Operate and Improve the App
Core Functionality – Your device and profile information allow us to maintain compatibility across platforms (iOS, Android, Web).
Bug Fixes and Stability – Usage data, device info, and crash logs help our developers detect and resolve issues.
Feature Optimization – By analyzing which features you interact with most (e.g., trade listings, messages, categories), we can refine or prioritize app improvements.
To Communicate with You
Beta Updates – We use your email or phone number to send you onboarding materials, beta test instructions, app updates, and new feature previews.
Feedback Requests – You may be contacted through email, WhatsApp, or survey tools (like Google Forms) to provide feedback on new features or experiences.
Incentive Distribution – If applicable, your contact details will be used to deliver digital rewards such as gift cards, badges, or trade credits.
To Collect Feedback and Improve User Experience
We analyze your survey responses, bug reports, and comments to identify pain points in the user experience (UI/UX).
Feedback may be grouped into themes (e.g., “messaging bugs,” “account creation confusion”) to prioritize improvements.
Responses help us validate new ideas and understand what users value most.
To Analyze Engagement and Feature Performance
Aggregated usage data (like trade frequency or login activity) helps us evaluate which app features are used, ignored, or confusing.
We track onboarding completion and major task completion (e.g., creating your first listing) to spot drop-off points.
This analysis allows us to test hypotheses and make informed product decisions.
To Maintain Trust, Security, and Compliance
We may use IP addresses and location data to detect suspicious activity, protect against spam, and enforce fair use (e.g., prevent duplicate or abusive accounts).
Your consent record and opt-in status help ensure compliance with data regulations (Nevada SB-220, CCPA guidelines).
Communication logs are used to verify tester identity or respond to specific requests.
To Support the Growth and Future Launch of LetsTrade
Your insights help shape future versions of the app, define our local launch strategy (focused on Reno and surrounding communities), and support marketing messaging.
We may compile anonymized data into internal presentations or investor updates to demonstrate user engagement and test success.
With your permission, standout users may be invited to participate in spotlight stories, testimonials, or advisory roles.
How We Share Your Information
We do not sell your personal information to any third parties. However, to operate the LetsTrade beta program and offer a secure and efficient experience, we may share or process your data through the following third-party service providers, each of which has their own privacy practices:
Stripe (Incentive or Reward Payments)
If LetsTrade provides financial incentives (e.g., gift cards, credit payouts) through Stripe, and as a payment method, we may collect and share limited personal data needed to process those transactions. Stripe is a PCI-compliant payment processor.
Purpose: Deliver cash rewards, refunds, or future trading credits
Data involved: Name, email address, payout details (e.g., PayPal, bank info, or payment ID)

Access Restrictions
Access to your information through these services is limited to LetsTrade team members who are responsible for product development, beta management, and user support. We ensure that all team members handling data are trained in basic data protection practices.
Data Storage and Security
We take the protection of your personal information seriously. All data collected through the LetsTrade app, website, and beta program is stored securely and handled with care.
Storage: Your data is stored on secure, cloud-based servers hosted by trusted third-party providers (e.g., Google, Stripe). These platforms use encryption and access control to help keep your data safe.
Encryption: Data transmitted between your device and our services is encrypted using HTTPS. Sensitive information, such as contact or payment data, is also encrypted at rest where supported by the platform.
Access Control: Only authorized team members or contractors who require access to the data for development, customer support, or testing purposes are granted access. These individuals are trained to follow privacy-conscious practices.
Retention: We retain beta tester data for the duration of the test and for a limited period thereafter (typically 6–12 months), unless a request is made for earlier deletion.
While we do our best to safeguard your data, no system is completely immune to threats. In the unlikely event of a data breach, we will notify affected users in accordance with applicable laws.
SMS Program
LetsTrade SMS Program
The LetsTrade SMS Program keeps you in the loop with updates, special campaigns, community news and exclusive opportunities to participate in events and giveaways. By opting in, you can expect messages such as app updates, feature launches, event reminders and limited-time promotions.
You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to info@letstrade.us.
Carriers are not liable for delayed or undelivered messages.
As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

Your Privacy Rights
You have certain rights regarding the personal information you share with LetsTrade. These rights may vary depending on your jurisdiction, but we aim to honor the following for all users:
Access & Review: You may request a copy of the data we hold about you at any time.
Correction: You can request to update inaccurate or outdated personal information.
Deletion: You can ask us to delete your personal data, unless we are required to retain it for legal or operational reasons (e.g., security or accounting).
Opt-Out: You may opt out of non-essential communications, such as beta feedback requests or promotional messages, by contacting us or using unsubscribe options provided.

Do Not Sell My Personal Information (Nevada Residents)
In compliance with Nevada Senate Bill 220 (SB-220) and in alignment with privacy-first values, LetsTrade does not sell your personal information to third parties.
If our data practices change in the future, we will notify users and offer a clear opt-out option before any data is disclosed to non-service-related entities.
If you are a Nevada resident and would like to formally request that your information not be sold (or confirm that it hasn’t been), you may email us.
Children’s Privacy
The LetsTrade app and beta program are not intended for children under the age of 13, and we do not knowingly collect personal data from anyone in that age group.
If we learn that we have inadvertently collected data from a child under 13, we will promptly delete it from our records. If you believe a child has provided us with personal data, please contact us immediately at [info@letstrade.com].
Changes to This Privacy Policy
We may update this Privacy Policy from time to time to reflect product changes, feedback, or legal requirements. When updates are made, we will:

Notify users via email or in-app notification (if applicable)

4. Beta Disclaimer
Please note that the LetsTrade platform is still under development and may be unstable or incomplete. As a beta tester, you acknowledge:
The app is provided “as is” and may not function as expected.
Features may change, break, or be removed at any time.
Data loss or errors may occur.
We do not guarantee continuous availability, compatibility, or performance.
Your feedback is essential and appreciated as we work toward a full public release. We are under no obligation to compensate users for their feedback.
5. Eligibility
You must be at least 16 years old to use the Services of LetsTrade. If you are under the age of 18, you will need permission from your legal parent/guardian who understands and agrees to these terms. Your parent or legal guardian understands that they will be fully responsible for the actions of the user with our service.
When registering and creating your account with LetsTrade, the same requirements apply. You must be at least 18 years of age to make an account. If you are at least 16 years of age, you will need permission from your parent/ legal guardian to register. It is required to provide accurate registration information (name, email, phone number).
For safety reasons, users under 18 years of age will not be eligible to participate in in-person trades. There is some level of risk associated with transactions. They will only be allowed to ship out items if a transaction, trade, or split-trade occurs. LetsTrade is not responsible for any liability in these transactions, for LetsTrade is a platform that helps connect users and facilitate transactions.
You must reside in the United States. LetsTrade uses a third-party, Stripe, that is used as a basis for facilitating payments. Stripe is bound to the United States borders. During the LetsTrade Beta, we prefer our beta users to be located in Reno, Nevada. We are not just limited to the Reno, Nevada area, and further expansion is planned for our future.
6. LetsTrade Services
Account Responsibilities
When you create an account, you agree to:
Keep your login credentials confidential.
Be responsible for any activity that occurs under your account.
Provide honest, up-to-date information.
Report suspicious or unauthorized activity immediately.
We reserve the right to suspend or remove accounts that violate these responsibilities or our Acceptable Use Policy.
Traded Item Responsibility
LetsTrade allows for the facilitation of trading goods or services. This exchange can be performed on the app if both parties agree without any money being involved in the trade. This can often be referred to as barter. These trades can have these types of scenarios:

Item for a service
Service for a service
Please note that for trades that involve service, LetsTrade will not have Buyer Protections involved, and it is important that the party receiving the service understands they are responsible for ensuring the performance of the service is satisfactory.
When trades are performed, understand that there are levels of risk. LetsTrade incurs no liability for any trades done on the platform. Trades completed and organized by users are not and cannot be expected to be the platform’s liability. For example: If a user trades a car via LetsTrade’s chat and chat agreement tool for a house, but no government documents are exchanged and legal procedures are voided, this onus and fault is solely on the user, not LetsTrade. Users can not claim that LetsTrade has anything to do with the deals and agreements made, nor the omission of including any potential legal documents. It is solely at the discretion of the user(s). The same goes for any Barter transaction and or outright sale or purchase of an item.
Split Trade
LetsTrade also allows for the facilitation of trading goods or services when there is a value difference that exists between the goods or services being traded. Both parties must acknowledge that there is a value difference. The party with the lower value can have the option of adding cash to the remaining value amount needed to complete the trade transaction, as long as the other party agrees; thus, the term Split Trade is used. For example, Party 1 trades a $60 skateboard and Party 2 trades a $40 scooter. Party 2 offers to add $20, and Party 1 accepts the offer.
Use Requirements
You agree that you will not (and will not encourage or enable another User or third party to):
Post, upload, publish, submit or transmit any User Content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, illegal, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
Use the App for any unlawful purpose or the promotion of illegal activities;
Use the App to, or attempt to, harass, abuse, or harm another person or group;
Provide others with access to or use of your Account, or use the Account or any other User’s Account without permission;
Provide false or inaccurate information in the App or your Account, including making any false representations concerning whether you are using the App for personal, family, or household purposes, or business purposes;
Use the App to exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
Make any automated use of the App, or take any action that we deem to impose or to potentially impose an unreasonable or disproportionately large load on the App;
Use any manual process to monitor or copy any of the material on the App or for any other unauthorized purpose without our prior written consent;
Copy, adapt, modify, create derivative works of, distribute, sell, or lease any part of the App or materials we provide as part of the App;
Attempt to decipher, decompile, disassemble, extract, or reverse engineer any source code of or any software used to provide the App, unless applicable laws prohibit these restrictions, or you have our written permission to do so;
Use any software, technology, or device to scrape, spider, or crawl the App or harvest or manipulate data;
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
Bypass any measures we take to restrict access to the App;
Use the App to solicit sales outside of the App or to send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other form of solicitation;
Engage in market manipulation, for example, the creation and use of multiple LetsTrade accounts to create the appearance of increased demand for a good or service;
Use the App for the distribution or sale of counterfeit, unauthorized, stolen, B-grade, or similar non-authentic listings or services;
Distribute, sell, trade, counterfeit, unauthorized, stolen, B-grade, or similar non-authentic listings or NFTs;
Engage or assist in any activity that violates any law, statute, ordinance, by-law, regulation, or sanctions program, including but not limited to the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”) and any similar laws in any other jurisdiction, or that involves proceeds of any unlawful activity (including but not limited to money laundering, terrorist financing or deliberately engaging in activities designed to adversely affect the performance of the App);
Use the App to participate in fundraising for a business, protocol, or platform, including but not limited to creating, listing, or buying assets that are redeemable for financial instruments, assets that give owners the rights to participate in an initial coin offering (ICO) or any securities offering, or assets that entitle owners to financial rewards, including but not limited to, DeFi (or decentralized finance) yield bonuses, staking bonuses, and burn discounts;
Fabricate in any way any Transaction or process related thereto;
Place misleading bids or offers;
Disguise or interfere in any way with the IP address of the computer you are using to access or use the App, or that otherwise prevents us from correctly identifying the IP address of the computer you are using to access the App;
Transmit, exchange, or otherwise support the direct or indirect proceeds of criminal or fraudulent activity;
Violate any applicable law or regulation;
Encourage or enable any other individual to do any of the foregoing; or
Otherwise, interfere or attempt to interfere with the proper functioning of the App.
LetsTrade is not obligated to monitor access to or use of the App or to review or edit any content. However, we have the right to do so to operate the App, to ensure compliance with these Terms, and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any content, including User Content (as defined below), at any time and without notice, including, but not limited to, if we, at our sole discretion, consider it objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the App. We may also consult LetsTrade and cooperate with law enforcement authorities to prosecute users who violate the law. The sale of stolen assets, assets taken without authorization, and otherwise illegally obtained assets on the App is prohibited. If you have reason to believe that an asset listed on the App was illegally obtained, please contact us immediately. Listing illegally obtained assets or services may result in your listings being canceled, your assets being hidden, or your Account being suspended from the App.
Unauthorized use may result in criminal and or civil prosecution under federal, provincial or state, and local law. If you become aware of misuse of our App, please contact us using our help page.
If any of these rules are broken, you are subject to legal recourse on behalf of LetsTrade and its potential partners, both present and future.
Your Rights to Use the App
Users are permitted to use the App for their own personal, household, family, or business purposes, by the terms herein.
Subject to these Terms, we hereby grant you a limited, revocable, personal, non-sublicensable, non-transferable, and non-exclusive license to access and use the App. You will use the App in full compliance with all applicable laws and regulations with regard to your use of the App, including all applicable laws.
If you breach any of the listed Terms, your right to use the App will stop immediately, and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the App, or any content on the App, is transferred to you.
We reserve all rights that are not expressly granted to you under these Terms.
7. Acceptable Use Policy
You agree not to use LetsTrade to:
Violate any local, state, or federal laws.
Sell or trade illegal, dangerous, or counterfeit items.
Harass, threaten, impersonate, or abuse other users.
Post spam, deceptive listings, or misleading information.
Interfere with the Service, attempt to hack the system, or upload malicious content.
Circumvent our intended features (e.g., using fake profiles to self-trade or defraud).
We reserve the right to remove content or suspend users at our discretion to maintain a safe and inclusive community.
ZERO TOLERANCE POLICY FOR OBJECTIONABLE CONTENT AND ABUSIVE BEHAVIOR
LetsTrade maintains a strict zero tolerance policy for objectionable content and abusive behavior. We are committed to providing a safe, respectful, and inclusive environment for all users.
The following behaviors and content are strictly prohibited and will result in immediate account suspension or permanent ban:
Harassment, bullying, threats, or intimidation of other users
Hate speech, discrimination, or content targeting individuals based on race, religion, gender, sexual orientation, disability, or other protected characteristics
Sexual harassment, inappropriate sexual content, or solicitation
Violent threats, promotion of violence, or content glorifying harm
Fraud, scams, or deceptive practices
Doxxing or sharing personal information without consent
Spam, excessive promotional content, or disruptive behavior
Impersonation of other individuals or entities
Content involving minors in inappropriate contexts
Users who engage in any of these prohibited behaviors will face immediate consequences, which may include:
Immediate removal of offending content
Temporary or permanent account suspension
Reporting to law enforcement authorities when applicable
Legal action for violations that cause harm or damage
We encourage all users to report objectionable content or abusive behavior immediately. LetsTrade takes all reports seriously and will investigate promptly. There are no warnings or second chances for serious violations - our priority is protecting our community.
By using LetsTrade, you agree to treat all community members with respect and dignity. We reserve the right to determine what constitutes objectionable or abusive behavior at our sole discretion.
User Legal Compliance
We require that users comply with all applicable laws regarding Transactions, which may include licensing, business registration, and other similar requirements and obligations. It is solely the responsibility of each User, and not of LetsTrade, to determine which laws apply to them and ensure that they are in compliance with such laws and that they have all necessary rights and licenses to buy and sell the listings. You acknowledge and agree that the use, listing, auctioning, purchase, distribution, promotion, advertising, and sale of certain listings are subject to federal, provincial, state, and local regulations. Firearms, knives, recalled products, children’s products, alcoholic beverages, cannabis, tobacco, food and drug products, medical devices, cosmetics, natural health products, coins, and currency will not be allowed. You expressly represent that you shall comply with all applicable federal, provincial or state, and local laws, statutes, ordinances, by-laws, and regulations relating to your use, listing, auctioning, purchase, and distribution, promotion, advertising, and sale of any listings through the App (hereinafter, the “Regulations”). You shall at all times defend, indentify and hold LetsTrade, its current and future, parent, subsidiaries, affiliates, and its and their respective shareholders, members, partners, officers, directors, employees, agents, joint venturers, and successors and assigns, harmless from, and against, all causes of action, suits, claims, demands, judgments, liabilities, direct or indirect losses, damages, awards, penalties, fines, costs and expenses (including, but not limited to, reasonable legal fees) of any nature or kind, arising under or results Trading from: (i) your use, purchase, listing, or distribution of any listings in violation of any Regulations; (ii) your use of the App in connection with the purchase of listings subject to any Regulations; and (iii) your alleged or actual violation or breach of any Regulations.
Please Note: While we require all Users to comply with applicable law, we make no effort to verify or ensure such compliance and we do not guarantee that (i) the App complies with applicable laws; (ii) Users will be in compliance with applicable laws while using the App; or (iii) transactions occurring through the App comply with applicable laws. Except where prohibited by applicable law we hereby disclaim all liability for any claims arising from, in connection with, or relating to (i) the App’s compliance with applicable laws; (ii) a User’s compliance with applicable laws while using the App; or (iii) whether transactions occurring through the App comply with applicable laws. Except where prohibited by applicable law you hereby remise, release and forever discharge LetsTrade and the LetsTrade Representatives of and from any claims whatsoever which you ever had, now have or may hereafter have, whether at common law, in equity, by statute or otherwise, whether now known or unknown, arising from, in connection with or in respect of (i) whether the App complies with applicable laws; (ii) whether a User’s complies with applicable laws while using the App; or (iii) whether transactions occurring through the App are in compliance with applicable laws.
Final Disclosure
LetsTrade maintains the right, at its sole discretion, to remove, disable, or restrict access to any listing, user post, service offering, or other content that is found to violate our Terms of Service, Privacy Policy, or any applicable local, state, or federal laws. This includes, but is not limited to, content that is fraudulent, deceptive, unsafe, offensive, infringes upon the rights of others, promotes illegal activity, or undermines the integrity or safety of the LetsTrade community.
We reserve the right to take immediate enforcement action — including temporary or permanent removal of content and/or suspension or termination of user accounts — without prior notice if we determine that such action is necessary to protect the safety, trust, and legal compliance of the platform. Users are expected to act in good faith and adhere strictly to our policies at all times.
Tax Implications Disclaimer
LetsTrade hereby disclaims any responsibility, obligation, or liability for any tax implications arising from barter or trade transactions facilitated through the platform. Users engaging in such transactions are solely responsible for complying with all applicable tax laws, regulations, and reporting requirements imposed by the Internal Revenue Service (IRS) or any other relevant tax authority.
Users are hereby advised to consult with a qualified tax professional or advisor to understand their tax obligations related to barter or trade transactions conducted through LetsTrade. LetsTrade is not liable for any failure by users to comply with tax laws or for any resulting penalties, fines, or legal consequences.
By using the LetsTrade platform and engaging in barter or trade transactions, users acknowledge and agree to assume full responsibility for any tax implications arising from such transactions. LetsTrade shall be held harmless and indemnified from any claims, damages, or liabilities arising from users’ failure to comply with tax laws related to barter or trade transactions.
By agreeing to these terms and conditions, you agree that this disclaimer protects LetsTrade from any potential tax liability and agree that, as a user, you are properly informed of your tax obligations when engaging in barter or trade transactions through the platform.
LETSTRADE IS A PLATFORM. LETSTRADE FACILITATES TRANSACTIONS BETWEEN BUYERS, SELLERS, AND TRADERS ON THE APP BUT IS NOT A PARTY TO ANY AGREEMENT BETWEEN THE BUYER AND SELLER OF GOODS OR SERVICES OR BETWEEN ANY USERS.
YOU SHOULD PROTECT YOURSELF AT ALL TIMES, USE YOUR BEST JUDGMENT, AND TAKE GREAT SAFETY PRECAUTIONS WHEN MEETING OR INTERACTING WITH OTHER USERS, WHETHER ON THE APP OR IN PERSON, INCLUDING WHILE MEETING UP. YOU ARE SOLELY RESPONSIBLE FOR YOUR SAFETY AND ANY INTERACTION YOU HAVE WITH ANY OTHER USER.
8. User Content
The LetsTrade Service allows users to create posts, share content, and message. Your content can include photos, videos, descriptions, profile pictures, usernames, reviews, and comments. You are responsible for your content and own the rights. You retain the right to use your content while also licensing LetsTrade for our use for our service and marketing purposes.
You grant LetsTrade a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license, fully paid, to display, edit, modify, reproduce, distribute, store, assign, transfer, and publish your content on all media.
LetsTrade reserves the absolute right, at our sole discretion and without prior notice, to remove, restrict, or disable any listing, post, or content that we believe violates these Terms of Service, applicable laws, or community standards. This includes, but is not limited to, items or services that are prohibited, unsafe, misleading, infringe on intellectual property, or pose a risk to our community. Our actions may be taken proactively or in response to reports, and we are under no obligation to provide reinstatement of such content once removed. LetsTrade shall not be liable for any loss, damage, or missed opportunity resulting from the removal or disabling of any content under this policy.
9. Trading Guidelines and Liability
LetsTrade provides a platform for users to connect and arrange trades. However:
We do not guarantee the quality, condition, or legitimacy of traded items or services.
Trades are arranged at your own risk and discretion.
We do not mediate disputes, refunds, or responsibility for failed or harmful transactions.
We strongly encourage users to meet in public, safe spaces and report any suspicious behavior.
10. Buyer Description & Protection
A Buyer on the LetsTrade App is classified as someone who has an interest in a Seller’s goods or services. It is the Buyer’s role to send a message or an offer to the seller. The offer could be classified as a purchase transaction, trade or split-trade. It will depend on the Seller if they are willing to accept any form of method, create a counteroffer, or decline, providing reasoning.
Current Payment Information
LetsTrade uses the services of Stripe for payments and transactions. You must provide LetsTrade with current payment information upon registration, change of payment information, and at LetsTrade’s request. You are solely responsible for maintaining and updating your payment information. LetsTrade is not liable for any insufficient funds or other charges incurred by you as a result of such attempts to charge, and/or place holds on your Payment Method.
Stripe Connect Onboarding & Responsibility
LetsTrade uses Stripe Connect to facilitate secure payments, transfers, and onboarding of sellers and service providers. When you register as a seller, your information is collected and verified by Stripe directly in accordance with their Know Your Customer (KYC) policies. Stripe is a third-party payment processor responsible for compliance with financial regulations and payment processing.
Stripe does not mediate, guarantee, or assume liability for the quality, legality, accuracy, or delivery of any items or services sold via the LetsTrade platform. All disputes regarding a transaction must be resolved between the involved parties (e.g., Buyer and Seller). While Stripe may process chargebacks, LetsTrade and/or the seller are solely responsible for resolving user disputes related to orders, services, or content.
Users agree that they will not hold Stripe liable for any losses, damages, or claims arising from or related to user-generated listings, purchases, or interactions on the LetsTrade platform.
Billing Authorization
The following shall apply if you sign up for an Account:
You authorize LetsTrade and/or any other company that bills for products or services or acts as a billing agent for LetsTrade (“Billing Agent”), to charge and/or place a hold on your Payment Method for any charges or fees related to your use of the App.
You authorize LetsTrade and/or Billing Agent to charge and/or place a hold on your Payment Method for any charges related to your use of the App.
You authorize the party that issued your Payment Method to pay any amounts described herein without requiring a signed receipt, and you agree that your acceptance of these Terms is authorization to the issuer to pay all such amounts.
You authorize LetsTrade and/or its Billing Agent to continue to attempt to charge your Payment Method for all amounts described herein, or any portion thereof, until such amounts are paid in full.
If the Payment Method on file is declined or otherwise rejected for any fee or subscription charge, the User shall have 7 days to provide updated information and payment. Failure to cure within the 7-day grace period may, at LetsTrade’s sole discretion, result in termination of your Account without a refund. If a User wishes to reactivate their Account after deactivation for failure to pay a fee, they will be required to satisfy any debts owed to another User or LetsTrade before a new Account can be created.
11. Seller Description & Protection
A Seller on the LetsTrade App is classified as someone who has an item or service they would like to sell, trade, or split-trade and create a posting on their account. A post must be created for Buyers to be able to see it on their end. A post will require pictures/videos of the item/service, asking amount, and description. It is up to the Seller to receive messages and offers from Buyers to accept one for a transaction to occur. It will be up to both parties to determine how to perform the transaction. If shipping an item is required, it is the Seller’s responsibility to package the item and to ship it to the Buyer’s address.
Goods/Items Transactions Generally
Sellers may list goods for sale in the App. By listing a good in the App, Sellers create an offer to sell that particular good at a specified price (“Listing Price”). A buyer will see the listing and have the ability to message the lister (seller) and make an offer within the LetsTrade App. LetsTrade reserves the right to temporarily suspend or investigate users based on credible reports of fraud, misrepresentation, or abusive behavior. Upon both the buyer and seller completing the transaction via chat, the buyer’s Payment Method is immediately charged the total amount of the Transaction, which includes the purchase price plus all applicable fees. Upon the occurrence of a Transaction, Seller ships the goods to Buyer using a prepaid shipping label provided to Seller by LetsTrade or LetsTrade’s third-party service provider(s). Within 10 days of the Buyer’s receipt of the good(s), the applicable purchase price, less any applicable fees payable by the Seller to LetsTrade under the Fee Schedule, will be transferred to the Seller via the Payment Processor (a “Payout Transaction”). The amounts available for Payout Transactions may be reflected on the App as the Seller’s LetsTrade Account Balance. It is your responsibility to ensure that all information provided is accurate for a proper transfer. LetsTrade may be unable to recover money transferred to an improper account based on the information provided by Users. Seller shall be responsible for the cost of fees charged by the Payment Processor for transfers, and Seller should review the Payment Processor’s terms and services, as rates are subject to change and beyond the control of LetsTrade. Sellers will be subject to and must comply with the Payment Processor’s terms and conditions.
If available for a given Transaction, a Buyer may opt into a verification process whereby LetsTrade verifies the goods purchased by the Buyer (a “Verification Opt-in”). Upon the occurrence of a Transaction whereby the Buyer has selected the Verification Opt-In, the Seller will ship the goods to LetsTrade. LetsTrade then conducts a verification process in which LetsTrade determines the accuracy of the goods’ description, condition, and authenticity. Once LetsTrade determines, in its sole discretion, that the good is authentic and that its description is accurate, LetsTrade confirms the Transaction can proceed and ships the good to the Buyer.
Seller Responsibilities for Good/Item Transactions
A Transaction occurs when a Listing Price and an Offer align. Upon a Transaction, Sellers are responsible for shipping the goods according to LetsTrade’s shipping policy, which is subject to change, and is available at all times on the LetsTrade FAQs. (Sellers who successfully fulfill a Transaction through Meet up & Save! do not need to ship the goods as well, of course.) To benefit Sellers, directly or indirectly through its third-party servicer provider(s), LetsTrade provides a pre-paid shipping label that Sellers use to ship a good to Buyer, or LetsTrade in the case of a Verification Opt-in. Should, for any reason, the cost to ship a good exceed the prepaid label price, Seller shall be responsible for any additional payment necessary to ship the good. Failure to abide by shipping policies may, at the sole discretion of LetsTrade, result in penalties.
Sellers are responsible for the accuracy of a good’s description. Sellers are required to ensure that the goods match exactly the image that is displayed on the App, and that the described condition of the goods is a true and accurate description of the condition of the goods. Any inaccuracy, whether it be the description, condition, or authenticity of a good, may, at the sole discretion of LetsTrade, result in penalties.
LetsTrade has no obligation to return listings that do not conform to the Seller’s description, and the Seller is responsible for any fees associated with any return or disposal of the goods (s). LetsTrade has no obligation to return any good/item that is deemed counterfeit, unauthentic, stolen, unauthorized, b-grade, or similar, but rather, LetsTrade may turn those listings over to the proper authorities, and the Seller is responsible for any fees associated with this action.
Service Transactions Generally
Sellers may offer services for purchase within the App. By listing a service in the App, Sellers create an offer to provide that particular service at a specified price (“Service Price”). A user interested in purchasing the service will see the listing and have the ability to message the provider and make an offer in the LetsTrade App. Upon both the user and provider agreeing on the terms of the transaction via chat, the buyer’s Payment Method is immediately charged the total amount of the Transaction, which includes the service price plus all applicable fees. Once the transaction is completed, the provider delivers or acknowledges to administer the service to the user as agreed upon in the LetsTrade chat. Within 10 days of the user receiving the service, the applicable service price, less any applicable fees payable by the provider to LetsTrade under the Fee Schedule, will be transferred to the provider via the Payment Processor (a “Payout Transaction”). The amounts available for Payout Transactions may be reflected on the App as the Provider’s LetsTrade Account Balance. It is your responsibility to ensure that all information provided is accurate for a proper transfer. LetsTrade won’t be held responsible for money transferred to an improper account based on the information provided by Users. Providers shall be responsible for the cost of fees charged by the Payment Processor for transfers, and they should review the Payment Processor’s terms and services, as rates are subject to change and beyond the control of LetsTrade. Providers will be subject to and must comply with the Payment Processor’s terms and conditions.
Seller’s Responsibilities for Service Transactions
Providers offering services through LetsTrade are responsible for ensuring the accuracy and quality of their listings and the services they provide. By listing service on the LetsTrade platform, providers agree to the following responsibilities:
Accurate Description: Providers must accurately describe the services they offer, including any relevant details, terms, and conditions.
Pricing: Providers must set a fair and reasonable price for their services. The listed price should include all applicable fees and taxes.
Communication: Providers must promptly respond to messages and inquiries from potential buyers regarding their services. Clear communication is essential to facilitate transactions.
Service Delivery: Providers must deliver the services as described in the listing and agreed upon with the buyer. Services should be delivered promptly and meet the quality standards outlined in the listing.
Transaction Completion: Providers must fulfill their obligations once a transaction is completed. This includes delivering the agreed-upon services and providing any necessary support or follow-up.
Payment Processing: Providers authorize LetsTrade to charge the buyer’s Payment Method for the total amount of the transaction, including the service price and applicable fees. Providers understand that LetsTrade may transfer the funds to their account within 10 days of the buyer’s receipt of the services, minus any applicable fees.
Accuracy of Information: Providers are responsible for ensuring that all information provided to LetsTrade, including bank account details for payouts, is accurate and up-to-date. Incorrect information may result in delays or errors in payment processing.
Compliance: Providers must comply with all applicable laws, regulations, and LetsTrade’s policies and procedures regarding the provision of services. This includes adhering to any licensing or certification requirements for their particular type of service.
Payment Processor Terms: Providers acknowledge that they are subject to the terms and conditions of the payment processor used by LetsTrade for transactions. Providers are responsible for reviewing and complying with these terms, including any fees charged by the payment processor for transfers.
Dispute Resolution: In the event of any disputes or issues with a transaction, providers agree to work with LetsTrade and the buyer to resolve the matter in a fair and timely manner.
12. Termination of Service
We reserve the right to suspend or terminate your access to LetsTrade if:
You violate these Terms or community rules.
You abuse the platform or another user.
We will discontinue the beta test or public version of the service.
You may delete your account at any time by contacting us or using the available tools. Termination may result in the permanent deletion of data associated with your account.
13. Limitation of Liability
To the maximum extent permitted by law, LetsTrade is not liable for:
Losses or damages arising from trades, user interactions, or bugs
Errors, outages, or inaccurate information
Misuse of the app by other users
LetsTrade is provided on an “as is” and “as available” basis, without warranties of any kind—express or implied.
LetsTrade facilitates payments through Stripe Connect, a third-party payment provider. While Stripe may process payments and refunds, Stripe is not responsible for resolving transaction disputes, ensuring service or product fulfillment, or mediating disagreements between users. LetsTrade retains full responsibility for managing the user experience and resolving disputes, including any actions resulting from chargebacks, fraudulent transactions, or refund claims.
LetsTrade, assumes no liability for anything that may occur to a user in the negative on the app. So this can be anything, such as personal losses in trading or bartering. Personal losses of not receiving proper items or any sort of relevant mix-up. For instance, you could argue that the app does not correctly show pricing or something of this nature. Still, it wouldn’t matter because it is solely up to you as the user to do your due diligence when it comes to purchasing from any business, vendor, individual, or entity that is on the app. The same goes for any product or service you outright buy. Think of it like Facebook marketplace, we observe no liability for any transactions or anything occurring on the app. When you meet up in person with other users on the app, LetsTrade, any affiliates, or persons associated with the company, assume no responsibility or liability for anything that occurs. By using this app, you are agreeing to these terms. While we, of course, wish for the best for our users, we assume no liability for any malice that occurs on or off the app whatsoever. LetsTrade is a free marketplace where anyone can sell, buy, trade, barter, or exchange any state- or federally-recognized legal goods and services.
Intellectual Property Rights
LetsTrade and its licensors retain full ownership of all rights, titles, and interests in and to the LetsTrade platform, including its software, technology, logo, content created by LetsTrade, and associated intellectual property rights. You are prohibited from modifying, copying, distributing, transmitting, displaying, performing, reproducing, publishing, licensing, framing, creating derivative works from, transferring, or otherwise utilizing any information, software, products, materials, or services obtained from LetsTrade.
Any unauthorized use of LetsTrade beyond what is explicitly permitted by these terms constitutes a breach of these terms and may result in violations of copyright, trademark, and other applicable laws. LetsTrade reserves all rights not expressly granted under these terms.
Assistance to Law Enforcement
LetsTrade retains the right to cooperate fully with any law enforcement authorities or court orders requesting or directing us to disclose the identity or other information about individuals posting any content on or through the LetsTrade platform. BY USING THE PLATFORM, YOU WAIVE AND RELEASE THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS ARISING FROM ACTIONS TAKEN BY ANY OF THE AFOREMENTIONED PARTIES DURING, OR AS A RESULT OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
Copyright Infringement Reports
LetsTrade respects the intellectual property rights of others and expects its users to do the same. It is LetsTrade’s policy, in appropriate circumstances and at its discretion, to disable and/or terminate the accounts of users who repeatedly infringe the copyrights of others. In accordance with the Digital Millennium Copyright Act of 1998, available on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf. LetsTrade will promptly address claims of copyright infringement committed using the platform that are reported to LetsTrade’s Designated Copyright Agent, identified in the sample notice below. If you are a copyright owner or authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements occurring on or through the platform by completing the following DMCA Notice of Alleged Infringement and delivering it to LetsTrade’s Designated Copyright Agent. Upon receipt of the notice as described below, LetsTrade will take whatever action it deems appropriate, in its sole discretion, including removal of the challenged material from the platform.
Legal Disclaimer and Risk Acknowledgment
You acknowledge and agree that the world poses inherent risks, and you must exercise caution in all interactions with other Users, whether occurring via phone calls, electronic communications outside of the LetsTrade platform, or in-person encounters. In the event of User interactions on LetsTrade, we strongly advise all Users to take appropriate precautions. To the fullest extent permitted by applicable law, we hereby disclaim all liability for any claims arising from, in connection with, or related to your communications, meet-ups, or similar interactions with other Users on or through the LetsTrade platform. Additionally, to the fullest extent permitted by applicable law, you release and forever discharge LetsTrade and its representatives from any claims whatsoever, past, present, or future, known or unknown, arising from, in connection with, or concerning your communications with other Users on or through the LetsTrade platform. Should you encounter an identity issue or engage in an interaction that either User deems inappropriate, we encourage you to contact us via our help page.
BY UTILIZING THE LETSTRADE PLATFORM AND ENGAGING IN ANY TRANSACTION, YOU ARE ACKNOWLEDGING AWARENESS OF THE ASSOCIATED RISKS.
